These Terms of Service ("Terms") govern access to and use of ShareNote, including account registration, uploading, listing, purchasing, downloading, and selling digital educational materials.<\/p>\n 1.3. By registering an account, accessing the Platform, or completing a transaction, you agree to be bound by these Terms and applicable laws.<\/p>\n 1.4. If you do not agree to these Terms, you must not use the Platform.<\/p>\n 1.5. Nothing in these Terms excludes, restricts, or overrides consumer rights or other protections that cannot lawfully be waived.<\/p>\n 2.1. ShareNote operates an online marketplace that enables users to upload, distribute, purchase, and sell digital educational materials.<\/p>\n 2.2. Permitted formats include study notes, PDF documents, and image-based educational materials, subject to our content requirements.<\/p>\n 2.3. Unless expressly stated otherwise, materials are provided by independent third-party Sellers rather than created or endorsed by ShareNote.<\/p>\n 2.4. ShareNote provides marketplace infrastructure, payment coordination, content review, and dispute-handling services.<\/p>\n 2.5. The identity of the contractual seller, applicable charges, and relevant transaction conditions must be disclosed to Buyers before purchase.<\/p>\n 2.6. ShareNote may introduce, modify, suspend, or discontinue Platform features, subject to applicable law and existing contractual obligations.<\/p>\n 3.1. Users must be at least sixteen (16) years old to register.<\/p>\n 3.2. Users aged sixteen (16) or seventeen (17) may use the Platform and apply to become Sellers where permitted by applicable law.<\/p>\n 3.3. Minors must obtain any parental or legal guardian consent required by their jurisdiction.<\/p>\n 3.4. Seller eligibility is additionally subject to the age, identity verification, and contractual requirements imposed by relevant banks and payment service providers.<\/p>\n 3.5. ShareNote may restrict certain financial features or request additional verification where required.<\/p>\n 3.6. Users must provide accurate information and must not misrepresent their age or identity.<\/p>\n 4.1. Buyers must complete email verification.<\/p>\n 4.2. Sellers must complete email verification and any additional identity and payment verification required by ShareNote or its payment partners.<\/p>\n 4.3. Users are responsible for maintaining the confidentiality of their account credentials.<\/p>\n 4.4. Users must promptly notify ShareNote of suspected unauthorized access or security breaches.<\/p>\n 4.5. Users must not sell, transfer, or share their accounts without authorization.<\/p>\n 4.6. ShareNote may require re-verification when suspicious activity, payment risks, or legal obligations arise.<\/p>\n 5.1. Sellers are responsible for the accuracy, legality, quality, and descriptions of materials they upload.<\/p>\n 5.2. Sellers may independently determine the selling price of their products.<\/p>\n 5.3. Sellers must accurately describe the content, format, language, scope, and any material limitations of their products.<\/p>\n 5.4. Sellers must not intentionally misrepresent the originality, authorship, quality, or educational value of their materials.<\/p>\n 5.5. Sellers are responsible for obtaining all necessary intellectual property permissions and complying with applicable tax and reporting obligations.<\/p>\n 5.6. Sellers must cooperate with reasonable investigations concerning refunds, intellectual property complaints, fraudulent transactions, or other disputes.<\/p>\n 5.7. Sellers must not manipulate reviews, impersonate other users, or conduct fraudulent transactions.<\/p>\n 6.1. Sellers retain ownership of their original materials and any intellectual property rights they lawfully hold.<\/p>\n 6.2. Sellers may include third-party materials only where such use is authorized, licensed, or otherwise permitted under applicable copyright law.<\/p>\n 6.3. Merely identifying or citing the original author does not automatically grant permission to reproduce or sell copyrighted materials.<\/p>\n 6.4. Sellers must not upload or sell materials that infringe copyright, trademark, privacy, confidentiality, or other third-party rights.<\/p>\n 6.5. Materials containing examination papers, institutional documents, confidential teaching resources, or similar content may be reviewed individually. ShareNote may request evidence of authorization and reject or remove materials where their distribution would be unlawful, unauthorized, or contrary to Platform policies.<\/p>\n 6.6. Sellers grant ShareNote a non-exclusive, worldwide, royalty-free license, for the period reasonably necessary to operate the Platform, to host, store, reproduce, format, display, distribute, and deliver uploaded materials for listing, promotional previews, transactions, and related Platform operations.<\/p>\n 6.7. This license does not transfer ownership of the Seller’s intellectual property to ShareNote.<\/p>\n 6.8. Following lawful removal or account closure, ShareNote may retain necessary records and copies where required for completed purchases, legal compliance, security, or dispute resolution.<\/p>\n 7.1. All products must undergo ShareNote’s review process before publication.<\/p>\n 7.2. ShareNote may approve, reject, request modifications to, or delay the publication of submitted materials.<\/p>\n 7.3. Approval does not constitute certification of originality, academic accuracy, copyright ownership, or legal compliance.<\/p>\n 7.4. ShareNote may conduct additional reviews after publication.<\/p>\n 7.5. ShareNote may remove or restrict content when reasonably necessary to address legal risks, user complaints, security concerns, or violations of these Terms.<\/p>\n 7.6. ShareNote does not guarantee a specific review or approval timeframe.<\/p>\n Users must not:<\/p>\n a. Upload or distribute unlawfully copied or unauthorized materials.<\/p>\n b. Sell leaked examinations, stolen documents, or unlawfully disclosed confidential information.<\/p>\n c. Use the Platform to facilitate cheating, impersonation, or other prohibited academic misconduct.<\/p>\n d. Upload malicious software, harmful files, or deceptive downloads.<\/p>\n e. Engage in payment fraud, money laundering, identity theft, or unauthorized transactions.<\/p>\n f. Harass, threaten, or unlawfully disclose the personal information of others.<\/p>\n g. Manipulate ratings, transactions, or Platform systems.<\/p>\n h. Circumvent security, payment controls, access restrictions, or account suspensions.<\/p>\n i. Violate applicable laws or the rights of other persons.<\/p>\n 9.1. Buyers must review product descriptions, prices, formats, and applicable restrictions before placing an order.<\/p>\n 9.2. Prices and applicable fees will be displayed before checkout.<\/p>\n 9.3. After successful payment confirmation, purchased materials will ordinarily be made available electronically through the Platform or another disclosed delivery method.<\/p>\n 9.4. Delivery may be delayed by payment verification, security checks, technical issues, or lawful restrictions.<\/p>\n 9.5. ShareNote may investigate suspicious transactions and take proportionate action to protect Buyers, Sellers, and the Platform.<\/p>\n 9.6. Buyers are responsible for ensuring that their devices support the disclosed file formats.<\/p>\n 9.7. Purchase does not transfer ownership of the underlying intellectual property.<\/p>\n 10.1. ShareNote charges Sellers a commission equal to twenty percent (20%) of the applicable product sale price.<\/p>\n 10.2. Unless otherwise disclosed, the commission is calculated on the product price before separately stated transaction taxes and excludes amounts refunded or reversed.<\/p>\n 10.3. Payment processing fees, withdrawal fees, currency conversion fees, and other applicable third-party transaction charges are borne by Sellers and may be deducted from their earnings.<\/p>\n 10.4. The Platform will disclose applicable fee information or calculation methods before the relevant transaction or withdrawal, as required by law.<\/p>\n 10.5. Seller proceeds are generally calculated as:<\/p>\n Seller Proceeds = Eligible Sale Amount \u2212 20% Platform Commission \u2212 Applicable Processing and Withdrawal Fees \u2212 Refunds, Chargebacks, and Other Lawful Adjustments.<\/strong><\/p>\n 10.6. ShareNote may revise its commission or fee structure prospectively after providing appropriate notice. Changes will not retroactively alter completed transactions unless required by law or separately agreed.<\/p>\n 11.1. Sellers may request withdrawals through supported methods, which may include bank transfer, PayPal, and Stripe-supported payout arrangements.<\/p>\n 11.2. Availability depends on the Seller’s location, account eligibility, verification status, and payment provider requirements.<\/p>\n 11.3. The minimum withdrawal amount is the equivalent of USD 10, calculated using the exchange rate or conversion method disclosed when the withdrawal is requested.<\/p>\n 11.4. Withdrawals must be initiated by Sellers. ShareNote does not guarantee automatic scheduled payouts.<\/p>\n 11.5. Withdrawal processing times may vary depending on identity verification, payment provider requirements, banking procedures, compliance checks, and operational circumstances.<\/p>\n 11.6. ShareNote will provide an estimated processing timeframe where reasonably practicable. Such estimates do not guarantee the date of receipt.<\/p>\n 11.7. Sellers must provide accurate payment information and are responsible for applicable third-party charges.<\/p>\n 11.8. ShareNote may temporarily delay a specific withdrawal where reasonably necessary to investigate fraud, chargebacks, legal restrictions, or unresolved transaction disputes.<\/p>\n 11.9. Account suspension or termination does not automatically result in forfeiture of lawfully earned, undisputed funds. Such funds will remain payable, subject to lawful deductions, verification, and applicable payment restrictions.<\/p>\n 11.10. ShareNote will not knowingly operate payment or fund-holding arrangements that require regulatory authorization without the necessary authorization or an appropriately licensed service provider.<\/p>\n 12.1. Buyers may submit a request under ShareNote’s voluntary refund policy within three (3) calendar days after purchase.<\/p>\n 12.2. Refund requests may be considered where:<\/p>\n a. The purchased file is corrupted or cannot reasonably be accessed.<\/p>\n b. The delivered content materially differs from its advertised description.<\/p>\n c. The material is materially incomplete or defective.<\/p>\n d. The Seller lacks the necessary rights to distribute the material.<\/p>\n e. The purchase involves duplicate or unauthorized charges.<\/p>\n f. Other circumstances justify a refund under applicable law.<\/p>\n 12.3. Buyers should contact admin@boringgg.lol<\/a> and provide relevant transaction information and a description of the issue.<\/p>\n 12.4. ShareNote may request supporting evidence and may consult the Seller before making a decision.<\/p>\n 12.5. Refunds under this voluntary policy are not automatically granted merely because a Buyer changes their mind after receiving accessible digital content.<\/p>\n 12.6. The three-day period does not limit any statutory cancellation, refund, repair, replacement, price reduction, or other remedy available under applicable law.<\/p>\n 12.7. Where required by law, Buyers will be given the necessary pre-contract information and opportunity to provide express consent concerning immediate digital delivery and any resulting loss of statutory cancellation rights.<\/p>\n 12.8. Approved refunds will be processed through the original payment method where reasonably possible, subject to applicable law and payment provider requirements.<\/p>\n 12.9. ShareNote may adjust Seller balances to reflect lawful refunds, chargebacks, or reversed transactions.<\/p>\n 13.1. Subject to successful purchase and payment, the Buyer receives a limited, non-exclusive, non-transferable license to use the purchased material for personal educational purposes.<\/p>\n 13.2. Unless separately authorized by the rights holder, Buyers must not:<\/p>\n a. Resell purchased materials.<\/p>\n b. Redistribute or publicly share the files.<\/p>\n c. Upload purchased materials to public websites or file-sharing services.<\/p>\n d. Commercially reproduce or sublicense the content.<\/p>\n e. Remove copyright notices or misrepresent authorship.<\/p>\n 13.3. Buyers may make copies reasonably necessary for their own personal study, subject to applicable law and any clearly disclosed product-specific restrictions.<\/p>\n 13.4. ShareNote may restrict access to materials where required by law or valid intellectual property claims, without prejudice to applicable consumer remedies.<\/p>\n 14.1. Rights holders may submit intellectual property complaints to admin@boringgg.lol<\/a>.<\/p>\n 14.2. Complaints should identify the protected work, the allegedly infringing material, the complainant’s authority, and sufficient supporting information.<\/p>\n 14.3. Where credible evidence of infringement exists, ShareNote may temporarily remove or restrict access to the disputed content.<\/p>\n 14.4. The affected Seller may submit an explanation, counter-notification, or evidence of lawful authorization.<\/p>\n 14.5. ShareNote will assess relevant information and may restore, permanently remove, or otherwise restrict the material.<\/p>\n 14.6. Repeated or serious infringements may result in account restrictions or termination.<\/p>\n 14.7. ShareNote may comply with lawful requests from courts, regulators, and competent authorities.<\/p>\n 15.1. ShareNote may issue warnings, remove listings, restrict features, temporarily suspend accounts, or permanently terminate access.<\/p>\n 15.2. Enforcement decisions will be based on the nature, severity, recurrence, and reasonably foreseeable impact of the conduct.<\/p>\n 15.3. Serious violations, including fraud, significant intellectual property infringement, and threats to Platform security, may justify immediate action.<\/p>\n 15.4. Where appropriate and legally required, ShareNote will provide notice, reasons, and a reasonable opportunity to appeal.<\/p>\n 15.5. Account termination does not extinguish outstanding payment obligations, valid consumer claims, or accrued legal rights.<\/p>\n 15.6. Lawfully earned, undisputed Seller funds remain payable under Section 11.<\/p>\n 16.1. Users wishing to close their accounts must contact ShareNote customer support at admin@boringgg.lol<\/a>.<\/p>\n 16.2. ShareNote may require identity verification to protect against unauthorized closure requests.<\/p>\n 16.3. Outstanding orders, disputes, lawful record-retention obligations, and unpaid balances may need to be addressed before account closure is completed.<\/p>\n 16.4. Account closure does not eliminate statutory rights to request access to, correction of, or deletion of personal information where applicable.<\/p>\n 16.5. ShareNote will respond to valid personal data requests in accordance with applicable data protection laws.<\/p>\n 17.1. ShareNote processes personal information reasonably necessary for account registration, identity verification, transaction administration, payment processing, fraud prevention, customer support, and legal compliance.<\/p>\n 17.2. Information may include contact details, account identifiers, transaction records, verification information, and payment-related details.<\/p>\n 17.3. ShareNote may share necessary information with payment processors, hosting providers, technical service providers, professional advisers, and competent authorities where lawfully permitted or required.<\/p>\n 17.4. Cross-border processing and transfers will be subject to applicable data protection requirements.<\/p>\n 17.5. ShareNote will maintain a separate Privacy Policy explaining relevant processing purposes, legal bases where applicable, retention periods, recipients, international transfers, and individual rights.<\/p>\n 17.6. ShareNote will implement reasonable technical and organizational safeguards appropriate to the risks involved.<\/p>\n 18.1. ShareNote does not guarantee that third-party educational materials are complete, accurate, current, or suitable for every curriculum or examination.<\/p>\n 18.2. ShareNote does not guarantee improved grades, examination success, university admission, or any specific academic outcome.<\/p>\n 18.3. Users should independently verify important educational information against authoritative sources.<\/p>\n 18.4. Content approval does not constitute academic endorsement.<\/p>\n 18.5. Nothing in this Section limits statutory rights relating to digital content quality, description, fitness for purpose, or the legal right to supply the content.<\/p>\n 19.1. ShareNote aims to maintain a secure and reasonably reliable service but does not guarantee uninterrupted or error-free availability.<\/p>\n 19.2. To the extent permitted by law, ShareNote is not responsible for losses caused solely by circumstances beyond its reasonable control.<\/p>\n 19.3. ShareNote is not automatically responsible for every statement or action of an independent Seller. However, it remains responsible for its own acts, omissions, contractual obligations, and statutory duties.<\/p>\n 19.4. Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where such exclusion is prohibited, or any other liability that cannot lawfully be excluded.<\/p>\n 19.5. Any limitation of liability shall apply only to the extent lawful, reasonable, and enforceable in the relevant jurisdiction.<\/p>\n 20.1. Sellers are responsible for determining and fulfilling their applicable income tax, business registration, and other legal obligations.<\/p>\n 20.2. ShareNote may collect, withhold, remit, or report taxes where legally required.<\/p>\n 20.3. Any applicable sales taxes or transaction taxes will be handled in accordance with relevant laws and the disclosed transaction structure.<\/p>\n 20.4. Users must cooperate with reasonable requests for information necessary to meet legal, tax, and payment compliance obligations.<\/p>\n 21.1. ShareNote may update these Terms to reflect legal, operational, security, or service changes.<\/p>\n 21.2. For material changes, ShareNote will ordinarily provide at least thirty (30) days’ advance notice by email.<\/p>\n 21.3. A shorter notice period may apply where changes are urgently required by law, security concerns, or other exceptional circumstances, to the extent permitted by law.<\/p>\n 21.4. Where applicable law requires affirmative consent, ShareNote will seek such consent before the relevant changes become binding.<\/p>\n 21.5. Changes will not improperly deprive users of accrued rights or retrospectively alter completed transactions.<\/p>\n 21.6. The updated effective date will be displayed when revised Terms are published.<\/p>\n 22.1. ShareNote operates from Taiwan and serves users in Taiwan, Hong Kong, and the United Kingdom.<\/p>\n 22.2. Applicable law and jurisdiction will be determined according to the relevant transaction, the parties’ circumstances, and mandatory legal requirements.<\/p>\n 22.3. Nothing in these Terms deprives consumers of mandatory protections or legally available dispute resolution rights in their jurisdiction.<\/p>\n 22.4. Users should first contact admin@boringgg.lol<\/a> to seek an amicable resolution.<\/p>\n 22.5. If a dispute cannot be resolved through negotiation, the parties may pursue available mediation, consumer complaint procedures, or proceedings before a court of competent jurisdiction.<\/p>\n 22.6. Nothing in this Section prevents a party from seeking urgent legal relief or exercising non-waivable statutory rights.<\/p>\n 23.1. If any provision is held invalid or unenforceable, the remaining provisions will continue in effect to the extent legally permissible.<\/p>\n 23.2. Failure by ShareNote to enforce a provision does not automatically constitute a waiver of its rights.<\/p>\n 23.3. These Terms, together with applicable transaction-specific disclosures and incorporated policies, constitute the agreement governing use of the Platform, subject to mandatory law.<\/p>\n 23.4. In the event of inconsistency between language versions, neither version shall override mandatory legal protections.
